Corporate Counsel

Atticus Franchise Group is seeking a high energy, hardworking, resourceful attorney to join the team as its Corporate Counsel at JEM Wellness Brands. The Corporate Counsel role will be integral to JEM’s continued growth and business objectives and will report to the General Counsel on a wide variety of transactional and other legal matters.

Responsibilities:

Corporate / Mergers & Acquisitions (65% - 75% of time)

  • Draft, review and negotiate merger agreements, stock purchase agreements, asset purchase agreements, letters of intent and related ancillary transactional documentation.
  • Draft, review and negotiate partnership and operating agreements, as well as related organizational documents and filings for AFG’s affiliated investment vehicles and operating subsidiaries.
  • Substantial responsibility for managing and facilitating M&A transactions from inception to closing.
  • Entity management and upkeep for all Atticus-affiliated entities.
  • Manage, facilitate, and assist with legal and business due diligence for prospective acquisitions and dispositions.
  • Oversee and maintain complete and accurate corporate records and document archives.

Commercial Real Estate Transactions (25% - 35% of time)

  • Draft, review, and negotiate commercial lease agreements and related ancillary legal documentation (i.e., commencement and tenant/landlord work letters, lease amendments, lease terminations, landlord and tenant estoppels and SNDAs.
  • Coordinate and oversee the review, preparation, and execution of all commercial leasing documentation by each of the applicable internal and external stakeholders.
  • Draft correspondence to commercial landlords’ management teams and legal counsel on behalf of Atticus’ operating affiliates with respect to claims, defenses, and other disputes arising under such entities’ lease agreements.
  • Organize and maintain accurate and complete archive of all operating entities’ commercial lease and related real property documentation, as well as all impending deadlines under same.

Requirements:

  • J.D. degree and membership in good standing in at least one (1) State bar.
  • Minimum of 3 years’ experience as a practicing attorney in a reputable law firm or other transactional setting – “Big Law” and/or private equity experience a plus.
  • Willingness to pitch in and support growing legal department in a fast-paced setting.
  • Ability to problem solve, resolve, and close open issues and assist staff and colleagues with resolving issues that routinely arise in the context of a growing, multi-brand private equity firm.
  • Demonstrated skillset of meeting strict deadlines under significant time pressure.
  • Ability to handle multiple tasks simultaneously with a high degree of professionalism and client orientation.
  • Excellent verbal and written communication skills and effectively working with internal and external stakeholders.
  • Proven organizational skills, attention to detail and ability to prioritize and work independently.
